Oregon’s name rule: when is a name “distinguishable”?

“A limited liability company name must be distinguishable upon the records of the Office of the Secretary of State from any other limited liability company name, corporate name, professional corporate name, nonprofit corporate name, cooperative name, limited partnership name, business trust name, reserved name, registered corporate name or assumed business name of active record with the office.”

— ORS 63.094(4) (2025 edition), read 2026-10-02.

  • Records that hold a name: Anything “of active record” — assumed business names (DBAs) included. The statute does not list which differences make a name distinguishable, so the check treats designators, punctuation and articles as no difference.
  • What an LLC name must include: “Limited liability company”, “L.L.C.” or “LLC” — and it may not contain “corporation”, “Inc.”, “limited partnership”, “Ltd.” or “LLP”. (ORS 63.094(1)–(2))
  • Holding a name before you file: a name reservation lasts 120 days (ORS 63.097(2)).
