Florida’s name rule: when is a name “distinguishable”?
“Must be distinguishable in the records of the department from the names of all other entities or filings that are on file with the department, except fictitious name registrations …, general partnership registrations …, and limited liability partnership statements …”
— Fla. Stat. §605.0112(1)(b) (LLCs); §607.0401(1)(d) (corporations), read 2026-10-02.
- Records that hold a name: Entities on file. A dissolved LLC’s name stays unavailable for 120 days after dissolution (§605.0717(2)) — 1 year after an administrative dissolution (§605.0715(5)); a dissolved corporation’s, 120 days (§607.1405(5)) — 1 year after an administrative dissolution (§607.1422(5)). An administratively dissolved LLC or a dissolved corporation can release its name early by filing a record that permits its immediate use.
- Differences that do not count: A suffix; A definite or indefinite article; The word “and” and the symbol “&”; The singular, plural, or possessive form of a word; A punctuation mark or a symbol.
- What an LLC name must include: “Limited liability company”, “L.L.C.” or “LLC”. (§605.0112(1)(a))

The SealForms check is a heuristic reading of public data, not legal advice and not a name approval. The Division of Corporations decides when you file.
