Colorado’s name rule: when is a name “distinguishable”?
“In order to be available, an entity name must be distinguishable (i.e., different) from other entity names that are on record.”
— Colorado Secretary of State, Entity names FAQ (citing C.R.S. §7-90-601), read 2026-10-02.
- Records that hold a name: Names on record. When an entity becomes delinquent, dissolves or withdraws, the Secretary adds that status to the end of its name (“…, Delinquent May 1, 2016”), and “the original name is now available for someone to use.” Unlike most states, Colorado DOES treat a different designator (ABC LLC vs. ABC Limited Liability Company vs. ABC Inc), spaces, hyphens, parentheses and articles such as “the” as differences.
- Differences that do not count: Periods, commas, underscores and apostrophes; Upper- versus lowercase letters.
- What an LLC name must include: A term or abbreviation that identifies the entity type, such as LLC or Limited Liability Company — and the one you pick changes the name for availability purposes. (C.R.S. §7-90-601, per the SOS FAQ)
- Holding a name before you file: a name reservation lasts 120 days, renewable (SOS FAQ, Q8).

The SealForms check is a heuristic reading of public data, not legal advice and not a name approval. The Secretary of State decides when you file.
