Connecticut’s name rule: when is a name “distinguishable”?

“The name of a limited liability company … shall be distinguishable on the records of the Secretary of the State from any: (1) Name of an existing person whose formation required the filing of a record by the Secretary of the State and which is not at the time administratively dissolved and which has not at the time filed a certificate of dissolution …; (3) name reserved under section 34-243l …”

— Conn. Gen. Stat. §34-243k(b), (d), read 2026-10-02.

  • Records that hold a name: Active entities, reservations and registered names. Entities that were administratively dissolved or filed a certificate of dissolution no longer block the name.
  • Differences that do not count: Words or abbreviations that indicate the type of entity — “corporation”, “Inc.”, “Limited”, “Ltd.”, “L.L.P.” and the like (§34-243k(d)).
  • What an LLC name must include: “Limited liability company”, “L.L.C.” or “LLC”; “Limited” may be shortened to “Ltd.” and “company” to “Co.” (CGS §34-243k(a))
  • Holding a name before you file: a name reservation lasts 120 days (§34-243l(a)).

The SealForms check is a heuristic reading of public data, not legal advice and not a name approval. The Secretary of the State decides when you file.
